Unidesk is a desktop application for macOS and Windows, and a website at unidesk.app. Unidesk is based in Bengaluru, India. These Terms and Conditions govern your use of the Unidesk application, website, and services. By installing or using Unidesk, you agree to be bound by these terms. If you do not agree, do not use Unidesk.
Who you buy from
How you pay decides who sells you a paid plan (Pro or Max).
- Orders placed by customers in the United States are sold through Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all orders placed by customers in the United States. Paddle provides all customer service inquiries and handles returns. Your purchase from Paddle is also subject to Paddle's Buyer Terms.
- All other orders are processed by Razorpay, and Unidesk is the seller. For these orders, these terms, our Cancellation and Refund Policy and the laws described in section 18 apply.
Free features need no purchase, so this section matters only when you buy Pro or Max.

The short version

- You are responsible for telling everyone on a call that you are recording, and for getting their consent where the law requires it.
- AI summaries and transcripts can be wrong. Check them before you rely on them.
- We limit your liability and ours in ways the law allows; see section 15.
- Governing law depends on how you buy; see section 18.

You must comply with applicable export control laws, and you must not use Unidesk to export controlled technology in breach of those laws. 3. Licence
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the App on computers you own or control. The licence is for your own use and not for any commercial purpose beyond personal freelance or consulting work.
You may:
- Install the App on multiple computers and sign in with your account on each.
- Use all Free features without limit.
- Create, edit, and delete your Content.
- Share recordings or notes with others if the law permits and the people involved have consented to recording.
You may not:
- Resell, sublicense, or transfer the licence to another person.
- Reverse-engineer, decompile, or attempt to extract the source code of the App, except to the extent that local law prohibits restrictions on reverse-engineering.
- Circumvent or disable any feature, paywall, or technical protection (including attempts to bypass paid-plan verification to access Pro or Max features).
- Use cloud features without a paid plan.
- Use the App to provide a transcription or meeting-note service to others for a fee.
- Install the App on servers, networks, or devices you do not own.
If you breach these restrictions, your licence is immediately revoked, and we may suspend or terminate your account.
4. Account
To use the App, you must sign in with an account using your email address. We use a one-time code sent to your email to verify your identity; no password is required.
You are responsible for keeping your email address and access to it secure. If someone else gains access to your email and uses your account, you are responsible for notifying us immediately at support@unidesk.app.
One account belongs to one person. You may not share a single account between multiple people. Each person must sign in with their own email address.
We may suspend or delete your account if we believe you are violating these terms or using the service unlawfully.
5. Free, Pro and Max
Free
Free includes: recording any meeting with system audio and microphone capture; on-device summaries and regeneration (using a local model downloaded once); notes editor with slash commands, tables, task lists, images, code blocks, and diagrams; tasks and reminders; whiteboards; time tracker with billable rates and XLSX/PDF export; local search across meetings and notes; dictation to any application (on-device, audio never leaves your machine). Free is unlimited. Free never expires.
MCP connections to AI apps on your computer (Unidesk 1.0.18 and later, Settings → MCP Settings) are included in every plan, including Free, and use no cloud hours.
Pro and Max
Pro and Max are monthly or yearly subscriptions that add:
- Cloud transcription: audio chunks are sent through our cloud service to speech models and returned as a transcript. See the Privacy Policy for details.
- Cloud summaries: transcript text is sent through our cloud service to model providers to write more detailed summaries.
Prices
- Orders paid through Razorpay (all orders not placed by customers in the United States): prices are in Indian rupees (INR). The current price, cloud-hour allowance and features of each plan are shown on unidesk.app/pricing and in the App at the time of purchase.
- Orders placed by customers in the United States, sold through Paddle: Pro costs US$15 per month or US$150 per year. Max costs US$25 per month or US$250 per year. Sales tax is added at checkout where it applies, and Paddle calculates it.
Prices can change; see section 6.
One paid plan covers all computers you sign in on. You do not need to buy a plan once per device.
6. Billing, renewal, cancellation, refunds, and taxes
Billing for Razorpay orders
When you subscribe to Pro or Max through Razorpay, you authorise us, through our payment provider Razorpay, to charge your payment method on a recurring basis. Monthly subscriptions renew automatically on the same day each month. Yearly subscriptions renew automatically on the same date each year.
Razorpay collects and stores your payment details. Unidesk never sees or stores your full card or UPI details.
If a renewal payment fails, Razorpay will retry the payment. If the subscription is halted after those attempts, your account returns to Free.
Billing for Paddle orders
When you subscribe to Pro or Max through Paddle, Paddle takes your payment and bills your payment method on a recurring basis, under the Paddle Buyer Terms. Your subscription renews automatically at the then-current price, plus any sales tax, until you cancel. Monthly subscriptions renew every month and yearly subscriptions renew every year. Paddle collects your payment details. Unidesk does not receive your full card details.
Switching between Pro and Max
At launch, you cannot change from Pro to Max, or from Max to Pro, while a plan is active. To switch, cancel your current plan, then buy the other plan once the current plan has ended. The App shows the date your current plan ends.
Cancellation
You can cancel Pro or Max at any time in the App, under Settings → Account. For Paddle orders, you can also cancel through the Paddle link in your receipt. Cancelling stops future charges. Your plan stays active until the end of the period you have already paid for, and then reverts to Free. Cancellation takes effect at the end of that period.
When your subscription ends, all your Content remains on your computer. We do not store your Content on our servers.
Refunds for Razorpay orders
You can get a full refund of a paid plan (Pro or Max, monthly or yearly) if you request it within 7 days of your first payment for that plan. A refund ends your paid access immediately. Renewal payments are not refunded.
To request a refund, email support@unidesk.app with the date of your payment and the reason for your request.
Refunds for Paddle orders
Unidesk does not make its own refund promise for Paddle orders. Refunds for these orders are governed by the Paddle Refund Policy. To request a refund, use the link in your Paddle receipt or go to paddle.net. Nothing in these terms takes away any right to a refund that the law gives you.
Taxes
Any taxes that apply to your purchase will be shown at checkout before you pay. For Paddle orders, Paddle calculates and adds any applicable sales tax at checkout. You are responsible for any taxes that the law requires you to pay on your purchase.
Price changes
We may change Pro or Max pricing at any time, and prices for new purchases may change without notice. If we change the price of your existing subscription, we will notify you by email at least 30 days before the new price takes effect. Your renewal will be at the new price unless you cancel before the renewal date.
7. Cloud usage limits and fair use
Cloud hours
Each paid plan includes a monthly allowance of cloud hours for transcription. Cloud hours are counted per calendar month in UTC and reset on the 1st of each month. Unused hours do not carry over to the next month.
When you reach your limit, new cloud processing stops until the next reset. A meeting that is already being processed can finish. Local and on-device features keep working. We do not charge for usage above your plan's allowance.
Cloud summaries
Cloud summaries are described as unlimited. They are subject to fair use. We may apply monthly ceilings on the number of summary requests and on the amount of text processed, to keep the service fair for everyone.
Fair use
To prevent abuse and ensure fair access for all users, we reserve the right to throttle or restrict excessive use of cloud features (cloud transcription, cloud summaries). The service may also pause cloud processing temporarily when overall daily capacity is reached.
Fair use includes: transcribing and summarising your own meeting recordings. Reasonable personal use will not be throttled.
Abusive use includes: using the cloud service to transcribe unlimited audio for third parties; automated or scripted requests designed to bypass fair-use limits; or any attempt to resell cloud features to others.
If we detect abuse, we may throttle your access, require additional verification, or suspend your paid plan without refund. We will attempt to notify you before suspending access.
8. Your Content and ownership
You own all Content you create, record, or upload to Unidesk.
We receive a limited licence to your Content solely to provide the Service: to process transcriptions, and generate summaries on your behalf. Your Content is stored on your computer. For cloud features, Content is sent to our cloud service and to the providers listed in section 10 only to process your request. Unidesk does not store audio or transcript text on our servers. We do not own, sell, or claim rights to your Content.
We do not use your Content to train our own models or to train other companies' models, unless you explicitly opt in to such use (which we may offer in future). This applies to recordings, transcripts, summaries, notes, and any other data you create.
You grant other users permission to view or edit shared notes, recordings, or other Content only if you explicitly share it with them.
9. Our intellectual property and feedback
Unidesk, the App, the Website, the cloud service, and all software, designs, graphics, text, and other materials in or on them are owned by us or our licensors and are protected by copyright, trademark, and other laws.
You do not own these assets. Your licence to use the App does not transfer any ownership to you.
If you send us feedback, suggestions, or ideas about Unidesk (whether via email, in-app forms, or in person), we may use them without restriction and without owing you anything. You waive any claim to compensation or credit for feedback.
10. Third-party services and providers
Unidesk relies on third-party services for parts of the Service. These providers may change, discontinue service, or modify their terms at any time:
- Cloud service and hosting: Cloudflare, which runs our cloud service
- Transcription and summaries: OpenRouter and the AI model providers listed in our Privacy Policy
- Payment processing: Razorpay (orders not placed by customers in the United States) and Paddle.com as Merchant of Record (orders placed by customers in the United States)
- Sign-in and app downloads: Amazon Web Services
- AI apps you connect through MCP: third-party software you choose, used under its own terms (see the Terms of Use, section 7)
If any third-party provider changes their service, pricing, or terms, we may be forced to modify or suspend the affected feature. We will attempt to notify you in advance of any material change.
We are not liable for downtime, unavailability, or changes in third-party services beyond our control. Unidesk does not guarantee that cloud features will be available at all times.
11. Updates, availability, and changes to the App
We may update the App at any time to add features, fix bugs, or improve security. Updates may be automatic or require your action.
We may discontinue features, modify the App, or remove functionality if we determine it is necessary for legal, technical, or business reasons. We will attempt to provide notice before discontinuing a major feature.
We do not guarantee that Unidesk will run on all versions of macOS or Windows. Currently, we support macOS 13 or newer (Apple Silicon) and Windows 10 and 11 (64-bit). We may drop support for older versions at any time.
The App may not work correctly if your device has insufficient storage, RAM, or an incompatible configuration. We are not liable for performance issues caused by your device.
12. AI-generated output and accuracy
Summaries, transcripts, and other AI-generated output can be wrong. They may contain errors, omissions, or inaccuracies. We do not guarantee that summaries are complete or perfectly accurate. You should review generated content before relying on it.
AI-generated output is not professional advice. Do not use Unidesk summaries or transcripts as the sole basis for legal, medical, financial, or other critical decisions. Consult a qualified professional.
Transcription quality depends on audio quality, speaker clarity, background noise, and other factors. If audio is poor, transcription will be inaccurate. You are responsible for ensuring the App has permission to access system audio and microphone.
13. Recording consent and lawful use
You are solely responsible for following the law on recording and consent. Unidesk records audio only on your own computer. It never joins a call as a bot, and it does not tell anyone on the call that you are recording.
Many places require everyone on a call to agree before it is recorded. Some US states, for example, require the consent of all parties for some recordings. Before you press record, tell everyone on the call that you are recording, and get their agreement wherever the law requires it. If anyone says no, do not record. The full rules, including what you can and cannot do with Unidesk, are in section 3 of our Terms of Use.
For how data is handled, see our Privacy Policy.
14. Disclaimer of warranties
The App, Website, and Service are provided as-is and as-available, without warranties of any kind.
We do not warrant that:
- Unidesk will work without interruption or error.
- The App is free from viruses, malware, or other harmful code.
- Transcripts or summaries will be accurate, complete, or suitable for any purpose.
- Cloud features will be available at all times.
- Your Content will never be lost or corrupted (though we take steps to protect it).
To the extent permitted by law, we disclaim all other express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the disclaimer of implied warranties; in that case, the warranty is limited to the extent permitted by law.
15. Limitation of liability
To the extent permitted by law, our total liability to you for any claim arising under or related to these terms, the App, or the Service is limited to the amount you paid us in the 12 months before the claim. For Razorpay orders, that amount is in Indian rupees. For Paddle orders, it is the US dollar amount you paid for your plan. If you paid nothing, the limit is INR 4,000.
We are not liable for:
- Loss of data, revenue, profits, or savings.
- Indirect, incidental, special, or consequential damages (including loss of use, loss of business, or business interruption).
- Inaccuracy or loss of any AI-generated output (summaries, transcripts, or other content).
- Downtime or unavailability of cloud features.
- Harm caused by third-party services we rely on.
- Any other damage not directly caused by our negligence or breach.
This limitation applies even if we have been advised of the possibility of such damage.
Non-excludable rights: Nothing in these terms excludes or limits your rights as a consumer that cannot be waived by law. This includes consumer rights under Indian law, rights under the DPDP Act 2023, and rights under the consumer protection law of your state or country of residence. To the extent those rights apply, we preserve them.
16. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, costs, or attorney fees arising from:
- Your violation of these terms.
- Your use of the App in a way that violates applicable law.
- Your breach of someone else's rights (including intellectual property rights, privacy, or recording-consent laws).
- Your Content (including recordings or data you upload).
- Any claim that you recorded someone without their consent.
17. Termination and suspension
Termination by you
You can stop using Unidesk at any time by uninstalling the App. You can delete your account by contacting support@unidesk.app. When your account is deleted:
- Your local Content remains on your computer; we do not delete it.
- Your account data (email address and sign-in records) is deleted from our servers within 30 days.
- Your paid plan ends and any future charges stop (see section 6 for refunds).
- You can no longer sign in or use the Service.
Termination by us
We may suspend or terminate your account if:
- You violate these terms.
- You use the Service unlawfully (including recording without consent).
- You attempt to circumvent a paid plan or access cloud features without paying.
- You abuse the Service, harass others, or transmit malware.
- We are required to do so by law.
If we suspend or terminate your account, you will be notified by email. In the case of suspension, access may be restored if you cure the violation. In the case of termination, your account is permanently deleted.
Effect of termination
Termination does not delete your local Content from your computer. You remain responsible for deleting it if you choose to.
Sections that survive termination include: Ownership of Content (section 8), Our Intellectual Property (section 9), Disclaimer of Warranties (section 14), Limitation of Liability (section 15), Indemnity (section 16), and Governing Law (section 18).
18. Governing law and dispute resolution
Razorpay orders and users in India. For these users, these terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Any dispute arising out of or related to these terms or the Service shall be exclusively resolved in the courts of Bengaluru, Karnataka, India. You consent to the personal jurisdiction of those courts.
Users in the United States. For these users, Indian law governs these terms, except where the consumer protection law of your home state gives you rights that cannot be waived. You may bring claims in the courts near where you live. Your purchase from Paddle is also governed by the Paddle Buyer Terms, including the governing law and courts they set out.
We do not require arbitration of disputes.
Try to resolve first
Before filing a legal claim, please contact us at support@unidesk.app and make a good-faith effort to resolve the dispute. If we cannot resolve it within 30 days, either party may pursue legal proceedings.
19. Changes to these terms
We may change these terms at any time by updating this page. Your continued use of the Service after changes constitutes your acceptance of the new terms. If you do not accept the changes, you must stop using Unidesk.
For material changes (such as changes to pricing, your rights, or our liability), we will attempt to notify you by email at least 30 days before the change takes effect.
20. General
Entire agreement
These terms, together with our Privacy Policy, our Terms of Use, our Cancellation and Refund Policy and, for Paddle orders, the Paddle Buyer Terms, constitute the entire agreement between you and Unidesk concerning the Service. They supersede all prior agreements and understandings.
Severability
If any section of these terms is found to be unenforceable, that section is modified to the minimum extent necessary to make it enforceable, or if it cannot be enforced at all, it is severed. The remainder of the terms remain in effect.
Assignment
You may not assign or transfer these terms or your rights or obligations under them. We may assign these terms to our affiliates or successors without notice.
No waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it later.
Notices
Any notice we send to you will be by email to the address associated with your account, or by posting a notice on the Website. Notices are effective when sent or posted. Notices to us must be sent by email to support@unidesk.app.
No third-party beneficiaries
These terms are between you and us. No one else has any rights or benefits under these terms.
